Australian listed healthcare company. We received a first strike two years ago with 31% voting against the remuneration report, mostly because of a retention grant and a bonus paid in a year of a profit downgrade. Last year we got 96% in favour.
What we did between the two meetings: the committee chair and I met 23 holders and both proxy advisers in two rounds, one in March to listen and one in August to show the proposed changes. Management were not in the room for either.
We changed three things and declined two requests, and said so. If I had to pick the one thing that mattered, it was going back in August with a draft. Several holders said nobody returns for the second conversation.
